Abstract


Nowadays, the reform of the commercial state banks has become the key issue of the economic structure reform. Forming a sound corporate governance, and promoting the development as well as the firm management to strengthen its competitive power are just the core of the reform of the commercial state banks. Therefore, it is very important and practical to deep research into the governance structure for the commercial state banks.The thesis takes the application of corporate governance to the commercial banks as the research subject. According to the corporate governance theory and the actual development of Chinese commercial banks, it lays the stress on the problems that exit in the corporate governance and the ways out. From the internal and external governance, the thesis discusses the measures that should be taken to optimize the corporate governance, namely reform of property right, optimization of the internal structure, establishment of system of encouragement and obligation, functional shift of party and governance, external competition system, optimization of legal system and supervision of CBRC. Combining the reform of joint stock system practiced in Chinese commercial state banks, the thesis also introduces the reform measures taken by Bank of China in corporate governance.The thesis falls into four parts. Chapter One is the introduction to the corporate governance of commercial state banks. It mainly introduces the concept of corporate governance and relative theories, and makes comparisons among different governance models of foreign commercial banks; Chapter Two analyses and studies the problems that commercial banks have in the respect of corporate governance; Chapter Three constructs a framework of the corporate governance for the commercial state banks in China in the light of corporate governance theory. Chapter Four introduces the reform measures in the corporate governance taken by the Bank of China.
