Abstract


From the \enough the importance of corporate governance in the enterprise development . In recent years , the outbreak of the financial crisis in Southeast Asia , the process of transition in Eastern Europe and the former Soviet Union after the privatization of the deterioration in the business as well as listed companies corporate governance scandals occurred in the past two years, and our recently exposed the false information of listed companies disclosed phenomenon , etc. , can be attributed to the corporate governance structure of problems up . Listed companies as representatives of Chinese enterprises , the efficiency of the corporate governance structure , the company 's competitiveness is the cornerstone of stable development of the securities market , an important factor for the development of our national economy . Improve the governance structure of listed companies is the key to whether the relationship of Chinese enterprises in the international competitive in China and also to meet the WTO challenges and the need to compete with foreign capital . This paper analyzes the existing problems in the governance structure of listed companies in China , two problems exist in the governance structure of the sub- internal and external governance structure , and focus on the problem of external governance structure , including the market for corporate control , problems that exist in the various social supervision system of the manager of the market , financial institutions, regulatory and legal news . Because this part is less than adequate place of domestic research and external governance mechanisms in the practice of corporate governance plays an increasingly large role in changing the driving force of the governance structure of listed companies not only from the internal organizational structure of the perfect , but also from a number of external factors . To solve these problems , at the end of the article , the author summarizes the eight countermeasures .
