Abstract


It is a phenomenon that corss-border mergers has become a pattern of transnational corporation‘s resource allocation in global. Especially for the enterprise of the developed country. And Performance analysis has become a focus in the field of economics.Over the recent years ,CNPC、PTR.NYSE、CEO.NYSE begin to go abroad for acquisitions.and the acquisitons have become more and more frequent. At the same time the amount of acquisitions break the acquisitions records frequently.In the current, the domestic oil production can not meet the needs of the domestic market. So the three state-owned oil company go abroad and Carry out M & A. This type of behavior is something we definitely. But we should see the great risk which the M&A contains. At the same time, can the mergers and acquisitions reflect the real transaction value? These issues are worthy of studying. In this pater we will research three state-owned oil companies’s performance of oversea’s acquisitions from the short - and long-term perspective. And to explore the oversea’s M&A performance of our country’s oil enterprises in recent years.The breakthrough and the main conclusions are as follows. First, In this paper, we will first analysis the overseas acquisitions of our country’s petroleum enterprises. Secondly, we use a variety of methods,to reflect a merger behavior impact on the enterprise’s Performance. Than we compared the performance of three big Petroleum Company and found Sinopec acquisition performance is best, and the worst is CNOOC. Finally, we classify the way of M & A, in order to explore the different profmance of different M & A. We found relative to the asset acquisitions, equity acquisitions was more effective. But there is no significant differences between the separate type acquisitions and mixed mergers.
