Abstract


As a separate legal entity facing to the social education, the private colleges that owns a perfect governance structure plays a vital role in the process of colleges’developing. The governing board lies in the center of the board of trustee’s governance, so if there are no governing boards, the board of trustees’governance can not be spoken of. The board system of private colleges is a useful system in order to explore and try to change the traditional school system, not only helping colleges’development, but also serve the community better and promoting the colleges to integrate with international world. How to build a perfect and standard system on board is extremely important to the development of private colleges. The board governance system of private colleges is still in its early construction stage currently, so the specific operation of the process is very different. It plays a significant impact for the functions of board governance and private colleges’development. The board of private colleges became an urgent explore area that exists in Chinese higher education’s reform and innovation practice. The needs of colleges’internal management, social standards and the law need we establish the governing boards. Therefore, we need carry on the positive discussion in order to meet the practical requirements of contemporary development and a better system of dealing with the implementation of the board of private colleges in the process of dealing with the practical problems. For how to build the board governance structure of private colleges can be taken as an important task to actively explore. College governance structure is designed to achieve the goals that set college institutional arrangements, and provides the framework relationship between the various stakeholders in the colleges, and rules the objectives of college, principles, decision-making, power sharing and decision-making for the remaining to achieve incentive compatibility and gain the governance performance.The paper reveals the current problems of the governance structure within and outside of the private colleges, based on the stakeholder theory, and pointes out the real needs and theoretical support of board governance structure. So it is necessary to make in-depth research on the board governance structure of private college from the perspective of stakeholder theory.
