Abstract


In 2009, the emergency of Growth Enterprise Market (GEM), explosive growth of collection, open policy of limited partners and the accelerated development of property rights market have arouse a round of RMB fund upsurge and the competition in the private equity investment industry has become increasingly fierce. Due to the intensified competition, the professional competence becomes especially important for the practitioners of the private equity investment organizations. An excellent equity investment practitioner should have the basic elements in four aspects: financial knowledge, knowledge of the industry, management knowledge and interpersonal relationship.The dissertation proceeds from the feasibility study of the private equity investment agency-G Company intending to invest in AZ Company, a growth enterprise of the video security defense industry, by conducting a comprehensive and detailed investigation of AZ Company with due diligence, takes the analysis of the basic conditions, products and markets, operating performance and a variety of other aspects of AZ Company as the basis, applies scientific analysis method, adopts SWOT to analyze the trade competition pattern of AZ Company, evaluates the reasonable value of AZ Company and carries out scheme designing, profit estimation and risk disclosure for the investment in AZ Company, in order to make us have a complete and comprehensive understanding of the equity investment analysis and adjustment process. Firstly, the dissertation conducts a qualitative analysis of the basic state of operation and industrial background of the company; secondly, uses the conventional financial ratio analysis method to evaluate the operating performance and financial policies of the company; thirdly, combines the results and views of the qualitative analysis and quantitative analysis methods and makes a comprehensive, long-term and proper prediction of the future performance of the company; then, based on the performance prediction, makes reasonable value assessment of AZ Company with the methods of discounting cash flow and price multiplicity and thus provides strong support for the investment program designing and investment return prediction. At last, the dissertation draws a conclusion through comprehensive analytical prediction: the investment of the G Company in AZ Company with reasonable price can not only help AZ Company develop at top speed and become the industrial leader, but also obtain high gains from investment through the IPO of the stocks of AZ Company in the future.
