Abstract


The problem exists in the governance of state-owned enterprises in China has seriously hampered the process of national economic development , has increasingly become the focus of attention . In this paper, based on the title of the super- property rights on the human capital theory , property rights theory , the state-owned enterprise governance theory combining theoretical investigation and empirical analysis , from an economic point of view of human capital property rights of state-owned enterprises in China arrangements with corporate governance in-depth analysis . The research shows that : China 's state-owned enterprises , China 's human capital property rights situation has improved greatly , but also there are many problems , the performance of the manager of human capital already has full control over remaining , but the use of non-standard ; usufruct in different area , different sectors of business performance travel the opposite sex , especially executives of listed companies and the general staff of the excessive widening income gap . Human Capital Property incomplete phenomenon still common in the state-owned enterprises , and corporate governance had a significant negative impact . Differences operators Human Capital of the effect of corporate governance in listed companies , the governance effect mainly depends on the equity incentive effects and control over the effect this risk effect , in general , in-house supervision constraints weaken governance management Stock Incentive effect grab effect . The analysis shows that the case of the Company 's employee stock ownership plan is clear , the incentive effects of employee human capital equity of corporate governance is significant , but should be scientifically designed programs , adhere to the rules of the preceding , open , transparent principles of . Optimization of human capital property rights and interests in the governance of state-owned enterprises , is to give full play to the positive endogenous requirements for human capital , and the norms of human capital property rights powers and responsibilities is a necessary condition for positive human capital , both are indispensable , and jointly promote corporate governance perfection . Therefore , building center operators Human Capital Property yuan incentive and restraint dynamic governance model , the inevitable measures to improve the governance of state-owned enterprises in China .
