Since in China most of stated-owned corporations have been reforming in corporation mechanism and joint stock mechanism, building and improving legal person of corporate governance is becoming a more important issue. In order to make Xi’an Xiangyang spacecraft Materials Co., Ltd’s becomes modern ones of clear property, distinct right and duties, separated government and corporations and scientific management, and to make their reform break through the essence during the period of innovating the new mechanism, I seek the concrete policies of building and improving legal person of corporate governance, based on practical situation of state-owned corporations in China and some theories and practice of corporate governance in west countries, in order to provide some lessons for economic system reform and economic law construction.The first chapter is Introduction, which introduces the research background, significance and research methods.Chapter II is the theory of corporate governance structure. Firstly, this chapter analyzes the function and concept corporate governance structure; Secondly, analyzes the characteristics and nature the corporate governance structure, and finally is the Historical Evolution of governance structure Chapter III is the status and problem of Xi’an Xiangyang spacecraft Materials Co., Ltd’s corporate governance structure. Firstly, this chapter analyzes the status of corporate governance structure in this company. Secondly, analyze the existing problems of governance structure, such as board of supervisors don’t work well, the board does not operate well, the relationship between the board of supervisors and the party committee has not straightened out, and unreasonable proportion of shareholders.Chapter IV is the incentive mechanism and restraint mechanism of the corporate manager in Xi’an Xiangyang Aerospace Materials Co., Ltd. Firstly, this chapter discusses the of the incentive mechanisms, such as material incentives, encouragement and scientific evaluation mechanism. Secondly, this chapter discusses the restrictive mechanisms, such as the company’s charter constraints, the occupational risk constraints and hardening budget constraint.Chapter V is the countermeasure of the corporate management structure in Xi’an Xiangyang Aerospace Materials Co., Ltd. including the following measures: the establishment of the board of supervisors improve operations of board and straighten out the relationships between shareholders, directors and managers; transformation the functions of the party committee, and so on.Chapter VI of this paper is the conclusions and inadequate, this chapter summarizes the conclusions and deficiencies of this paper.
