Abstract


Merges&Acquisitions is an eternal hot spots and topic, there must be a M&A in capital market. M&A is one of the effective means of company stock capital optimization and one of the important tools for establishing a modern enterprise system in China. From the beginning, it attractes a large number of economists’attention with its attraction. From a tax perspective, it is also one of the important topics. In recent years, M&A is increasingly active in China, an income tax accounting becomes more and more important. Because accounting standards and tax rules vary greatly, more and more issues are gradually exposed.Under the new accounting standards,accounting for income taxes using the balance sheet liability method, comparing assets and liabilities’book value and tax base, their differences are divided into taxable temporary differences and can offset temporary differences, then determine each accounting period the income tax expense in the income statement on that basis.Under new Enterprise Income Tax law and new Accounting Standards, the differences have been changed, and bring many new questions. Recently, Finance and the State administration of taxation published several regulations, such as Number [2009]59、Number[2009]60、Number[2010]4. Compared with the previous policy, they are all much more perfect. but in many ways, they still controversial. In light of the new tax policy, this article will discuss the implications on the new policy, to study the problems of income tax accounting, and make reasonable suggestions.Both the tax free and the taxable, the tax burden is the same in the end. So, if tax-free is a good thing , it depends on diferent way. Under tax-free ,the company will get the benefit of time value, but still, the company have to pay taxes at the time of liquidation . Tax seriously affect corporate financial decisions. Study on the issue based on the actual, whether theoretical or practical significance is very important.From an enterprise perspective, such research closely combined with the actual, and will play guiding role in M&A. Based on Number [2009]59, From the perspective of both the general and special, it can guide to choose methods of M&A, and also the continue development of the company.
