Abstract


Limited liability company deadlock problem is our current judicial practice highly representative one of the problems frequently occur in the corporate deadlock limited liability company , due to the limited liability company's ownership structure is often relatively simple, if there is a conflict , is extremely prone to evenly matched hostile deadlock , deadlock will not only endanger the company and the company's own shareholders , but still involves many external stakeholders ' interests. Therefore, to address the problem of corporate deadlock , deadlock resolved path to explore the company become an important research topic. 2006 effective implementation of the new \All shareholders holding more than 10% of the voting rights of the shareholders , may request the court to dissolve the company . \, the new \From the theoretical point of view , although China's \on the other relief measures, particularly the shareholders exit mechanism relief level theoretical study . This pop horizons domestic scholars , and without denying judicial settlement of a limited liability company deadlock problem , based on the limited liability company under the shareholder deadlock exit mechanism for relief under the hierarchy of depth and meticulous research , analysis of the current shareholders exit mechanism in resolving the company and the shareholders deadlock problem applies exit mechanism for relief under the hierarchy of problems and propose countermeasures .
