Abstract


The concept of corporate governance was first proposed by American scholars the Mai Yinsi and Bailey (Means and Berle, 1932) in the writings of modern companies and private property \separation, as a starting point, corporate governance has become a very important key words in a Management. Beginning in the 1980s of the last century, the theory of corporate governance has become a rich depth theoretical system of thinking and governance of the company. Many scholars in the theoretical background, a series of insightful ideas and research point of view, we break through the traditional understanding of the framework, such as the \to understand the original problem, there may be many new discoveries. Combined with the theoretical background, I proceed from the point of view of corporate governance, through careful study of Shanxi Province Rural Credit Cooperatives Corporate Governance and the problems encountered by the more in-depth analysis, thinking historical and practical reasons for these problems, to sort out these problems and these problems make the appropriate reduction, in-depth thinking about some of the basic issues arising from a historical perspective. And related issues in-depth study. As the largest financial institutions in Shanxi Province, Shanxi Province, the steady development of the rural credit cooperatives, of great significance to the healthy economic development in Shanxi Province. In this paper will explore some of the basic issues, and it is these issues caused the deviation of the concept of corporate governance in the modern enterprise system, and run the way, in turn, restricts the more in-depth reform of the property rights system. Some of the problem is structural in nature, must seriously consider and treat, including governance structure and governance mechanism of the formation and effective functioning of other issues. Steady development can be sustained for the Rural Credit Cooperative and able to make a greater contribution to local economic development in Shanxi, Shanxi Province Rural Credit Cooperatives actual development and theoretical study domestic and international property rights system and corporate governance, to identify suitable and operability theoretical support; longitudinal comparison (based on the history of the development of the rural credit cooperatives in Shanxi Province) and horizontal comparison (at home and abroad with the industry status quo), the correct and objective evaluation of the Rural Credit Cooperatives opportunities and challenges, advantages and disadvantage; through analysis of county-level association representative corporate governance status and problems of the case to reach the existing problems more intuitive and deeper understanding and profiling, both from the corporate governance structure and governance mechanisms in rural Shanxi Province The credit cooperatives corporate governance rationalization recommendations and opinions, and really find out the Shanxi Province, rural credit cooperatives to improve the corporate governance of the way out.
