Abstract


The problem of performance evaluation indicators(“PEI”) of equity incentive(“EI”) of State-owned holdings listed companies(“SOHLC”) usually contains two pieces of core content: one is the selection of PEI, and the other is the setting of PEI’s number. We will focus on the two aspects to discuss the theme in this paper.As a long-term incentive and restraint mechanism, the PEI is the fundamental and premise for the implementation of EI. But as to the SOHLC, because the State-owned property is somehow special compared to other enterprises, the design of the PEI of the EI is particularly important. In terms of the policy requirements of performance evaluation, the EI of SOHLC requires more stringent design standard of the PEI, so whether the selection and setting of the PEI are scientific or not determines the implementation effect of EI of the SOHLC directly.In this paper, basd on the outline of EI and PEI, taken into account the specificities of the EI including“internal controlling”, incomplete marcket of human resource and non-marketing of product market implemented by the SOHLC, and compared with the related policies to analyze the development situation of PEI of EI of the Chinese SOHLC, it is expected to seek the existing problems on selection and setting of PEI, and to raise proposals and countermeasures against the PEI of EI of SOHLC on this basis. Especially against the below three aspects we will give our own proposals with a view to improving the SOHLC’s PEI of EI system in order to serve the business development better for reference. The proposals are: the introduction of EVA indicator and MV indicator, the introduction of the PEI based on industry Characteristics, and the balanced setting of horizontal and vertical indicators.
