Abstract

The year of2010and2012, China Cinda,China Huarong have been completed the joint-stock reform and the continuation of the "life" of the financial asset management company.It also opens a new journey of development of the financial asset management company.After the success of the companies "restructuring", their policy debts transfer Into shares of stock,and the disposal of their equity assets has played a great promoting function for long-term development of the financial asset management company and changing their business structure.Meanwhile, the financial assets management companies disposal their policy debt for stock swap equity assets will also help the development of the further restructuring of state-owned enterprises and have a positive function to improve their shareholding structure.The study of legal issues in financial asset management company equity asset disposal process, not only to promote the perfection of the laws and regulations in the process of China’s financial disposition to a certain extent, to speed up the marketization of equity asset disposal and act of disposition of financial assets management companies;But also it has important practical significance to the compliance and publicness in the equity asset disposal of financial asset management companies.The author attempts through empirical research and analysis of the legal issues found in the actual participation process of equity asset disposal and so on...for example.the low degree of marketization because of the current laws and regulations lag and a lot of administrative intervention.And because of similar problems have general character, I propose solutions and make recommendations to the relevant legislation and related systems.In this paper, through introduction and description the different nature and legal status of the financial asset management companies before and after them "restructuring",as well as play in different role before and after them disposal of equity assets, reveal the different attributes in the law of the work to disposal the equity asset of the financial asset management companies.At the same time, the author do in-depth analysis according to the practical problems and legal、 institutional problems that encountered in the work of disposal the equity asset of the financial asset management companies.Through the in-depth analysis of the aforementioned problems,Ⅰ put forward some suggestions not only for improvement about legislation thinking and supervision system of disposal the equity asset of the financial asset management companies,but also for their equity assets disposal behavior marketization views.
