Abstract


The separation of ownership and management rights already became an important characteristic of modern enterprises, this "two rights separation" between the shareholder and the operator has formed a kind of principal-agent relationship. Because of the information asymmetry and opportunism behavior tendency, enterprise has faced to the issue of insider control agency. The emergence of corporate governance issue is in order to solve the problem of how to motivate and restrict the operator behavior effectively, and make the decision to a series of problems to protect the interests of stakeholders including shareholders as far as possible. Corporate governance mainly includes the ownership structure、board structure、board structure、management incentive and the interests of creditors and shareholders. Reasonable corporate governance structure will improve the efficiency of corporate governance, so as to promote enterprise performance.In this paper, the basic theory of corporate governance is stated on the basis of theoretical research at home and abroad. Then use qualitative analysis method to chose some index establish the evaluation system of the efficiency of corporate governance from seven angles, include of ownership structure、board of directors、board of directors、the manager layer、information disclosure、matching control and management, and then make the relevant explanation for the evaluation system. This paper uses Fuzzy AHP method to determine the weight of each index in order to make ranking based on the scores of each Listed Banks’governance efficiency. Analysis of the existing problems in the governance structure of Listed Bank with the evaluation system have established, found that ownership structure is a key factor to affect bank performance, followed by the board of directors and executive function. Finally, suggestions and measures are put forward from the government and bank.
