Abstract


Angel investment is also known as the informal venture investment, it firstappeared in Europe and the United States. The main funding source of angelinvestment is from individuals and families (the rich). They put the capital intopromising high-tech enterprises, provide funds for the enterprises which are in need,and then provide a strong impetus for the development of enterprises. Along with thedevelopment of market economy, angel investment market appeared gradually inChina. Angel investment will no doubt play a crucial role on the cultivation anddevelopment of small and medium enterprises (SMEs) which facing severe bottleneckof innovative capital.Angel investment boom in the developed countries in Europe and America, themarkets there are relatively mature. Why? One of the important reasons is that thesecountries have formulated a series of laws and regulations for the angel investment.These measures not only play a role of the supervision of angel investment market,but also promote the benign development of the industry. Angel investment market inChina appeared late relatively, people from all walks of life are not familiar with itand relevant legislations are lagging behind. Therefore, this paper is to study theangel investment and puts forward some good advices on how to regulate angelinvestment in our country in a legal perspective.In chapter1, at first, the paper talks a brief exposition of the concept andhistorical development of angel investment from which we can have a generalunderstanding of it.Then it carries on simple analysis of the nature and value systemof angel investment which points out the direction for the development of small andmedium-sized enterprises in China. In chapter2, the paper takes on the analysis of the organizing form of angelinvestment, the standard of market access, operation process and exit mechanism in amore detailed way. So we can better understand angel investment and its market andprovide a basis for the angel investment legislation in China.In chapter3, the paper describes briefly the regulations of angel investment insome foreign countries (the United States, Britain, France and Japan) and summarizesthe commonness in a hope of taking advantage of it to provide reference for angelinvestment legislation in China.Chapter4is also the last chapter of this paper. Firstly, it talks the presentsituation of angel investment system in China, such as backward legislation and lowlegislation level. Secondly, it analyzes some problems in our current angel investmentlaws. Finally, on the basis of the above analysis, it proposes some proposals on theconsummation of angel investment system in China, such as formulating specialangel investment law, perfecting angel investment exit mechanism, establishing angelinvestment information exchange platform and improving the credit system in orderto lay a solid legal foundation for the healthy development of angel investment inChina. This chapter is the final destination.
