Abstract


Mergers and acquisitions as a business behavior under the conditions of market economy is chased by the enterprises around the world nowadays, because it can bring some effect for the enterprises, such as economies of scale, resource allocation, combination of synergistic effect and it is also an important means of rapid expansion of enterprises. However, the failure rate of the M&A is very high, and it is largely depended on the control of financing risks of the M&A to improve the success rate of M&A. Furthermore, the financing risk is the core of the financial risk, so it is essential to strengthen the control of financing risk.Based on the reasons, this paper integrates the M&A financing theory, the asymmetric information theory and the dynamic risk control theory to study the issues of Chinese Enterprise M&A financing risk control. First of all, based on the deep study of the present status of Chinese enterprise M&A financing risk and the risk control status, the paper analyses the deficiencies of current M&A financing risk control, which mainly reflect in the unreasonable timing of the M&A financing and the lack of dynamic adjustment and control in financing structure. Secondly, in response to these issues, the paper establishes a model of the financing timing structure, and use the combing of flow chart analysis method and signal combining method to establish a mechanism for dynamic control of M&A financing risk. Then the paper uses the case studies to initially verify the effectiveness and applicability of the dynamic risk-control methods, so it solves the problem of the lack of dynamic control in the M&A risk financing in the current enterprises. Finally, the paper proposes strategies and suggestions to the Chinese enterprises M&A financing according to the status quo of the control of M&A financing risk.
