Abstract


Since reform and opening , China has made ​​great economic achievements in the rapid economic growth in the extensive also accompanied by a lot of problems arising . Property is not clear the problem has been restricting China's enterprises rapid and healthy development . In our country there has been business managers salary structure is irrational , the lack of long-term incentive situation and therefore there harming national and shareholder interests. Stock option system as a long-term incentives , so that business owners and operators to form a community of interests , to a certain extent, can effectively solve the principal-agent problem . China in the last century, began to explore suitable for China 's stock option incentive system , because our legal system and other restrictions , and no one company implemented a real stock option plan. The good news is that after generation of entrepreneurs and scholars continue to explore and study the legal framework in our country , in accordance with their own situation on the stock option incentive plan with modifications and modifications . 2006 China Securities Regulatory Commission , \At the same time , the effectiveness of China's capital market and weak internal governance structure of listed companies such as irrational problems hindering the exercise of stock options of the road , how to effectively implement stock option incentive system for improving China's enterprises , especially listed companies corporate governance structure, to achieve sustainable development of great significance . Firstly, the theoretical basis from the stock options , the system itself to start a detailed elaboration and research on the positive and negative effects of stock options were analyzed theoretically explain the stock option system is an effective incentive system.
