Abstract


The establishment and development of farmer cooperatives is the most important way to solve the centralized agricultural production requirements of decentralized production and market economy conditions , the contradiction between the large-scale . Cooperatives as an independent legal entity , in essence, is the nature of the economic organization of mutual aid \members transaction or act as intermediary members and social transactions , therefore cooperatives transactions principle is to help the individual operators of the individual members. purpose and thus achieve economies of scale . Cooperatives and economic organizations of the two different functions and purposes , the service members is the fundamental purpose of this cooperative governance is different from the corporate governance . However , as the classic of today 's corporate governance model , the internal governance structure of cooperatives can learn from the absorption of the organizational structure of corporate governance , the formation of a company corresponding to the separation of powers , checks and balances between the governance structure composed of members of the Assembly, the Council and the Board of Supervisors , with special emphasis on the members of the General Assembly as the highest authority status , form different from the company's general meeting of the members of centrism cooperatives not control managers , to ensure that members of the General Assembly 's role play , so that the rights of the members of the cooperative are effectively protect . Cooperatives special property ownership for both existing laws must be clear , and to establish sound cooperatives internal incentives , supervision and operation mechanism of checks and balances , promote more healthy farmer cooperatives , to develop normally.
