Abstract


This paper is focuses on company sponsors, analysesing the sponsors system’s statusand problems on the basis of some countries’investigation, and also trying to reflect anddescribe the concept, status and obligations of sponsors. The following three parts areincluded in this paper.The first chapter is to analysis the concept of sponsors, in which part two questionsare referred to. The first one is whether the person putting their assets to others forestablishing company is a sponsor or not. The second is whether the professionalintermediaries who look for financial material resources and intelligence for company isa sponsor or not. Then this paper brings forward the thought for developing the conceptof sponsors.The second chapter analyses the status of sponsors, beginning with constructingcompany. After clearing the Legal nature of constructing company, it comprehensivelyanalyses the legal status of the sponsors from the relationship between the sponsors,between the promoter and the establishment of the company, and also between thepromoter and shareholders. Then explores the legal basis of the company undertakingthe contract of sponsor.The third chapter is on the duty and obligations of sponsor. It firstly compares theduty of sponsors between civil law and common law, and then discusses the necessity ofsponsors subscribing stocks. At this part of obligations of sponsor, it points out that thesponsor’s obligations include capital ensuring, obligation compensating, benefitexplaining, etc.
