Abstract


Ordinary certainly offer and commitment of the civil law and common law countries are two important stages in the establishment of a contract have different opinions , but treat the problem of an offer content . Article 14 , paragraph 1 , of the United Nations International Sale of Goods Convention on Contracts for the offer to explain and supplement Article 14 , paragraph 1 , as the result of compromise of civil law and common law systems , while facilitating international trade because of its defects brought a lot of strife, needs further refinement . This article is based on Article 14 of the United Nations International Sale of Goods Convention on Contracts evolution starting from the history of the provisions and conditions of the offer . This paper focuses on the 14 offer three conditions specific by binding and certainty . In addition , the paper by contacting the United Nations International Sale of Goods Convention on Contracts 55 price pending contract provisions offer the certainty of further analysis , to analyze the defects of the first 14 , and for the correct interpretation of the offer proposed recommendations.
