Actually, our local commercial Banks are still in the support of the our government, if foreign Banks in China have the same position with our local commercial Banks, at that situation, Chinese Banks will meet greatest challenges, because compared with foreign Banks,the corporate governance structure of our banks still have a large gap with them, although our local commercial Banks has made many efforts in corporate governance, for example, hey generally have established shareholders--board-supervisors system, and set up remuneration committee and so on in the board,this committee are respectively responsible for all aspects affairs in the bank, moreover, the bank have introduced the system of independent directors, which has played the independent director’s responsibilities, overall, the corporate governance structure of China’s listed commercial bank has preliminarily established. But now there still have many problems, such as:ownership concentration is high; Independent directors smaller; Board action weakening; The board of supervisors status is low, supervision and limited function; Incentive and restraint mechanisms shortage, and so on.In the short term, the commercial Banks can provide attractive products, good services, strengthen management and other ways to improve operating performance, but in the long time, corporate governance structure is the key to keep a continuous and good business performance. Only strengthen internal governance mechanism and external governance mechanism, inside to outside, the banks can get long-term management benefit, and make the bank bigger and stronger. The main content of this article is based on the quantitative description of the current governance of Chinese Banks, aims to choose a meaningful data for empirical test, aims to find some factors which have great influence on the performance of the bank, so as to find the countermeasures for improving the bank performance.
