Abstract


The risk of corporate governance, corporate governance structure is designed unreasonable or governance mechanisms operating within specifications lead to the corporate governance partial reason this and some of its goals , causing a decline in the value of the company or the likelihood of damage to the interests of shareholders as the main stakeholder . Generate internal causes and mechanism of corporate governance risk . In this paper, on the basis of previous studies of corporate governance, risk , defined the concept of corporate governance, risk , and along the risk of the formation of the root causes , motives , this logical thinking conduction mechanisms and risk results to construct the theoretical system , last Gome control the right to dispute the case analysis and an empirical test of the theoretical system . This study formed some conclusions : First, the operation of the corporate governance system is not perfect and governance mechanisms unreasonable as well as the internal conflicts of the functions of the governance institutions constitute the root cause of the system of corporate governance risk , and present opportunities for tendencies and bounded rationality constitutes governance risks formed human roots . Provides the basis for the generation of corporate governance, risk in the system root cause and the root cause of the presence of human nature . Second, the incentive and restrictive mechanism does not match the motivation for the formation of the Corporate Governance Risk . Humanity roots due to the constraints and incentives do not match , the reverse expand the limits of bounded rationality , opportunistic tendencies of positive incentives , resulting in opportunistic behavior of the agents , the formation of the principal agent ( the first level of the agency relationship ) , as well as an agent with the agent ( the second level of the agency relationship ) between the interests of the game .
