Abstract


October 23, 2009, the Chinese mainland market officially opened the GEM. China Securities Regulatory Commission Chairman Shang Fulin, the GEM board ceremony speech that the establishment of GEM adapt to China's economic and financial developments and changes the requirements for China's capital market and the sustained and healthy economic development are of great significance. As we all know, the GEM market in high-growth start-up stage or stages of enterprises to provide equity financing platform to encourage high-tech, innovative nature of financing small and medium enterprises in the securities market, in order to achieve better development. For GEM issuers, China Securities Regulatory Commission and Shenzhen Stock Exchange and other regulatory authorities are specially formulated to regulate normative documents and instructions. The author believes that the main issue of the GEM market, the more important is the main qualifications, equity and capital, information disclosure and corporate governance four content. This is because the main qualifications and equity capital of the issuer listed issuer basis, while the GEM market issuers qualification there are a number of the motherboard is not completely consistent with the requirements; stake clear, capital adequacy is listed issuer must satisfy the conditions ; to information disclosure and corporate governance requirements are stringent GEM requirements for issuers distinctive features, but also for long-term healthy development of the issuer and lay a solid foundation. This paper GEM nature, function, said open to the right have a clear understanding of the GEM market, based on the comparison of the GEM and Main Board on the issue of the different conditions, and further clarify the GEM issuers Features . On GEM issuers with market and its overall understanding based on the GEM market issuers current legal regime of the sort.
