Abstract


To China’s state-controlled shareholding companies listed on the highly centralized as the starting point,to shareholders of state-owned holding companies and the public shareholders control of the main line, supplemented by state-owned controlling shareholder of the distorting effects of corporate governance,then this form of state-controlled listed companies Ownership Structure Analysis.This dissertation consists of four chapters.Chapter one is State-controlled shareholding structure of listed companies. This chapter from the shareholding structure of the equity stake and a concentration of ownership structure to examine the impact on corporate governance,and analysis of the state-controlled shareholding structure of listed companies of the status quo in order to arrive at China’s state-controlled companies listed on the shareholding structure is characterized by state-owned shares "Unit dominance."Chapter two is the conflicts of interest between state-owned controlling shareholders and listed company.In this chapter,the author describes State-owned controlling shareholders of listed companies to control the interests of the corporate governance issues and causes.Chapter three is the conflicting interests between the state-owned controlling shareholders and the public shareholders.State-owned controlling shareholder in the share issue,the general meeting of shareholders to vote and the distribution of benefits on the part of the public against the interests of the shareholders.Chapter four is restraint mechanisms taken to control State-owned controlling shareholder of abuse of the right.From both inside and outside on the control of shareholders of the restraint mechanism to protect the public shareholders in the company’s legitimate rights and interests.
