Abstract


Securities Issuance and Listing Sponsor System Interim Measures implemented with effect from February 1, 2004 , the approach provides an initial public offering of a limited stock and listed companies issuing new shares, convertible corporate bonds with securities issuance and listing of the sponsor system . The sponsor system is a stock issue regulatory legal system . Prior to the sponsor regime , the stock issuance regulatory system in China has gone through two stages of the examination and approval system and channel system . Approval system and channel system has achieved a certain effect, but in the implementation process and its shortcomings were revealed . In order to build clarity, responsibility and mutual checks and balances , the stock market operation mechanism of the positive interaction , the introduction of the sponsor regime . The system borrowed from Hong Kong, Hong Kong to learn from the United Kingdom , but the operating environment of China and Hong Kong and the United Kingdom securities markets are not the same . Sponsor regime in China , including the contents of the qualifications, rights , duties , responsibilities , both between the various content independent of each other and mutually affect constitutes an organic whole . Sponsor regime is also the practice of its positive function and play a positive role . Sponsor regime is not a panacea , its set in the system , the system is implemented , the market environment has many deficiencies , these deficiencies is exactly what we should take the appropriate legal countermeasures focus on improvement . The healthy functioning of the securities market should be adhering to a subjective judgment of the regulators as the criterion , with a high degree of credibility of the market principles. From this perspective , perhaps before the real market operation , we still have a hard way to go .
