Abstract


Along with rapidly expanding of the international financial, more and more international financial groups expand their scale of operation, increase their market shares and enhance their overall strength. The global financial crisis happened in 2008 has brought a new wave of M&A, there are 12 commercial bank M&A happened only in 2008 Sep,with the total amount more than 1 billion dollar. There are more and more commercial banks take M&A as strategy to gain long-term development in the fierce competition. Will tell from domestic macro environment, the five years transitional period of China’s entering into the WTO is ended in 2006, the financial market is totally opened, and Chinese commercial banks face unprecedented challenges. They will compete with not only the domestic banks but also the big foreign banks. Chinese commercial banks have sped up their pace of merger and restructuring so as to diversify risks and enhance competing capacity. Because the M&A of Chinese commercial bank start late, there aren’t rich relative theory and practice.Therefore, the research on the efficiency of bank M&A not only meets the increasingly well-developed banking M&A market but also enriches commercial bank M&A theory.This paper takes empirical analysis by taking the qualitative and quantitative analytical method and the contrasting analytical method, show that the bank performance of M&A will usually appear in several years after short worse, and find some shortage of Chinese commercial bank M&A, it not only has important significance for the banking M&A in our country but also provides references for future researches.This paper has 6 chapters, chapter 1 states the study background, research significance and study purpose. This chapter also makes a comparison between domestic and foreign literature on M&A of commercial bank. It notes that the foreign theory is much richer than us. the foreign scholars use Financial rate analysis, Event study, Factor analysis,DEA,SFA etc.to evaluate the performance of M&A of commercial bank. And many domestic scholars take more time on the dynamics and characteristics of M&A, and the few domestic scholars who study on the performance of M&A often use Financial rate analysis, DEA to do the study. Last, this chapter introduced study ideas and structure briefly.Chapter 2 mainly discusses related theory basis of M&A. firstly, it defines the M&A of commercial bank and the performance of M&A to show the connotation of the article’s title. And then, reviews the basic theory of improving the performance of M&A of commercial bank.Chapter 3 introduces the most used evaluation methods on the Banking M&A performance of the domestic and foreign scholars. And combined with the features of every evaluation methods and the actual situation in China, this essay creates the Performance Appraisal System mainly depended on financial index analysis method and Data Envelopment Analysis (DEA).Chapter 4 reviews present situation of M&A of Chinese commercial bank and summarizing the commercial bank M&A cases of China.Chapter 5 is Case study, it’s the kernel chapter. This paper selects three different kinds of commercial banks(the M&A between Chinese commercial banks, foreign banks take shares in Chinese commercial bank, Chinese commercial banks make overseas M&A) for case analysis using the selected evaluated method, and find the efficiency changes and current problems of the bank M&A.Chapter 6 makes conclusions and proposes the suggestion to improve the efficiency of banking M&A internally and externally on the basis of current problems of the banking M&A of our country.
