In recent years our country practice the reform of financing system, practice the ownership of a share diversification, development and encouragement finance company reorganization. And as a result some listing commercial banks appear. Commercial banks, are mainly source of the funds need for development in our country, influence our country economy development’s speed and quality. The commercial banks are economy development of importance motivation. Their efficiency problems have been concerned. But X efficiency, as index sign, explains about more than 20% costs of banks, under the premise that accurate measure. The explanation is more obvious than "scale economy" and "scope economy". The X efficiency is that can obtain in all resources of amount biggest may produce. The corporate governance of commercial banks conducts and actions the system arrangement of a kind of business enterprise and have to the efficiency of bank importance of influence. After 90’s Southeast Asia finance crisis, the corporate governance of commercial banks is subjected to more extensive of concern. Corporate governance is one of the most structures. One of the characteristic of modern business enterprises is the separate of ownership and management power. Two powers separated creation to entrust act for relation, of client (proprietor) and agent (executive) since demand cooperation again existence conflict. So it’s needed to get mutual mechanism to check and balance, moderate each other of responsibility, power, and benefit relation. So, the business corporate governance an arrangement of reasonable or not, direct influence its efficiency. Only make sure that how corporate governance influence efficiency, then can manage arrangement to improve company’s efficiency.This paper firstly manages to carry on an overview with the research corporate governance theories, commercial banks’efficiency theories to the company, and their relation. While elaborating corporate governance theories, it is mainly to manage the ownership of a share characteristic in the theories from the company, management structure, encourage mechanism’s etc. to carry on a research analysis. While elaborating a commercial banks’efficiency theories, we analyze X efficiency theories of concept, contents, calculation method etc. While elaborate the relation, we mainly manage to research why and how the commercial banks’corporate governance influence their X efficiency. Then, this paper carries on an assumption first, then carries on a calculation to the X efficiency, and then establishes model, carries on calculation, gets the conclusion of the substantial evidence. At the end, the paper manages to analyze the commercial banks’corporate governance medium the factor of the influence their efficiency, and differences from the ownership arrangement, management structure arrangement, encouraging-mechanism arrangement to put forward related of suggestion that can improve commercial banks’efficiency by improving their corporate governance arrangement.
