Abstract


Information disclosure system is the core of the legal system in the whole security market. Information disclosure is the main way through which the investors learn the public companies and the security supervising institutions supervise the public companies. It is also a legal obligation for those public companies. In recent years, the fact that a series of laws and regulations related to information disclosure system adopted by the securities supervising institutions, most of which are aimed at improving the information disclosure system, shows that the securities supervising institutions have a high regard to this system. It has been turning into standardization and legislation. But there are still many illegal operations during the course of information disclosing, such as the false statement, concealing the true information, abusing the information, controlling financial market and deceiving the customers. All of these badly disturb order of the securities market. As the foundation of securities market developing in goodness, the information disclosure system has to be deprived of those above problems. If not, those problems may become the obstacle to the development of securities market. In this article, those problems in information disclosure of the listed companies are analyzed, and the proposals to perfect the information disclosure system are present on the basis of the study on the primary theories of information disclosure as well as the American’s legislation experience.
