Abstract


October 27, 2005 , the Tenth National People's Congress of the Eighteenth Meeting on China's \The establishment of this system in our country is far-reaching . However, since the system in our country has just begun, in many respects, there are still legislative oversight , in practice, operability is not strong , the author designed by the legal system of this theoretical discussion , drawing on advanced legislation of each country on the basis of actively seek countermeasures in building our shareholder derivative litigation system has made some useful exploration . Firstly, in the first chapter the meaning of shareholder derivative litigation system , historical development , and other similar forms of comparative proceedings were introduced, through a comparison with similar morphology litigation , analyzes the differences between the systems , making the litigation system features can be derived demonstrated. Chapter comparative method used by the United States , Japan, Taiwan and several other derivative litigation legislation more mature countries ( regions ) in the shareholder derivative litigation procedure system requirements in respect of comparison , in order to improve our shareholder derivative litigation system provided a reference.
