Abstract


American independent director system is decentralized ownership structure of the United States , due to the Company's external monitoring mechanism failure and improved the company's internal governance model , aimed at limiting \With this difference , our attempts to change the listed companies due to the dominance of controlling shareholders against the interests of minority shareholders by transplanting independent director system . This way to improve corporate governance is likely to be futile because China does not have the system operating environment applicable independent director system . Author by comparing the Sino-US independent director system in the rule set and the difference in the institutional environment , in order to make transplantation independent director system in China failed to have a visual manifestation of reasons . And propose the best way to improve corporate governance in the institutional environment of the country's economic , political , cultural , legal , industrial organization form of the relevant system of rules and institutions operating mechanism .
