Abstract


The small and medium-sized enterprises(_SME) have already become the main component part of the Chinese economic entity, but the problem of financing has been the bottleneck restraining development of them all the time. China has put out GEM in 2009, because of domestic listing system and limited capacity of GEM, which still can’t fulfill the urgent financing demand of domestic small and medium-sized enterprise at present. Listing on the Overseas GEM is a kind of feasible mean to financing for small and medium-sized enterprises.Overseas GEM Domestic SME chosen are concentrated, which are Nasdaq, KOSDAQ, AIM, Hong Kong GEM and Catalist. They are the main sites as well as representative for listing. on GEM. if SMEs choose the wrong listing sites, nonefficency and risk of delisting follow behind.Listing on the Overseas GEM is a mutual selection process to enterprises and market. The main objective of the listing of small and medium-sized enterprises is financing, combining with the financing objective, the thesis chooses five influential factors as comparative elements, which are standards for listing, market opening, market liquidity, market regulation and market preferences.The conclusion of listing sites comparison provides reference to the market choice for small and medium-sized enterprises overseas listing on the GEM.Combining with Strategic of enterprise development, small and medium-sized enterprises should choose suitable markets according to development stage and industry characteristics and follow four principles,which are possibility of overseas listing, financing efficiency, industry identity and strategic of enterprise development, guided by financing needs and corporate strategic. Meanwhile, the enterprises should restructure the enterprises asset allocation to enhance attractiveness to investors.The innovation mainly reflects in two aspects:one is the adoption of new data, Other studies use the data before 2006 at present, but there are great changes in many markets in 2007 and 2008,this thesis increases new data of the two years. The other is the combination of internal factors and external market factors, the conclusion will be more realistic.
