Abstract


Along with the growth of Chinese enterprises, market competition and the integration of the domestic and foreign markets, M \u0026 A cases in recent years gradually increased, mergers and acquisitions, financing needs, fast growth, M \u0026 A loans has become a major force behind accelerate the development of the M \u0026 A business. However, M \u0026 A loan is a brand new varieties of high-risk loans, the risk and complexity of the loans were higher than in the traditional sense. Therefore, risk prevention is the top priority of China's commercial banks to carry out M \u0026 A loan business, how to guard against the risk of M \u0026 A loan business to China's commercial banks to carry out the most important issue that must be addressed prior to the M \u0026 A loan business. Select M \u0026 A loan business risk prevention as the research object, first through the analysis on the basis of careful interpretation of the terms of the China Banking Regulatory Commission promulgated the \and risk prevention; Second, the combination of foreign M \u0026 A loan business development experience, focusing on M \u0026 A loan business model and style of prevention experience in the United States, China and Japan as China's commercial banks to carry out M \u0026 A loan business risk prevention learning; once again, through comparative analysis China's commercial banks current M \u0026 A loan business risk prevention measures and management practices, summed up the successful experience of China's commercial banks to carry out M \u0026 A loan business risk prevention specific measures and deficiencies; once again, this article from an empirical point of view combined with case studies of specific measures of commercial banks in the M \u0026 A loan business risk prevention and preparedness ideas, theory and reality. Finally, from the point of departure of commercial banks, and made specific recommendations for the M \u0026 A loan business risk prevention.
