Abstract


Corporate system since the Middle Ages in Europe Italian coastal Kangmeng Da organizations from the earliest to today's stock limited liability company has a history of several hundred years , the company has become the most important economic entities in the modern society . The emergence and development of the company to promote economic development, the improvement of people's living standards and social progress, in today's global economy integration process is to play a crucial role . However, with the growing strength of the modern company , more and more stakeholders involved in the company's behavior , the impact on the community is also growing . So a question arises : in pursuit of maximizing shareholder value at the same time is going to consider the interests of others in addition to outside shareholders ? Use of social resources at the same time not have to return to the community ? Corporate social responsibility will be accompanied of these issues came into being. The corporate social responsibility concept was first proposed in 1924 by Shelton ( Oliver Sheldon ) . Since then, many scholars at home and abroad on the theory of social responsibility , from sociology, economics and law to examine corporate social responsibility , the perfect corporate social responsibility theory . The same time , legislation and judicial practice in the world , but also the social responsibility as a liability of the company , that in the pursuit of maximizing shareholder value , while shareholders other than the interests of society , but also the protection and promotion . This paper is divided into five chapters. The first chapter through corporate social origin to analyze the historical inevitability of corporate social responsibility ; second chapter cited several representative theoretical analysis to demonstrate the legitimacy of corporate social responsibility ; Chapter Western countries through research of corporate social responsibility legislation and judicial practice to compare a variety of building the pros and cons of the system of corporate social responsibility ; the Chapter by analyzing the status quo of corporate social responsibility in China pointed out the existing problems of China 's corporate social responsibility legislation ; Chapter strengthen our corporate social responsibility .
