Abstract


Split from equity reform era background , the study listed coal enterprises in the shareholding structure of the set of principles and programs . Split share structure reform is the elimination of the defects of the system of long-term impact of the equity structure of listed companies in China , which has far-reaching significance of the milestone . This paper analyzes the impact of related characteristics of coal enterprises in China and national policy and equity structure of listed coal enterprises operating results . According to the statistical analysis of the results , given reasonable to set the direction of the shareholding structure of listed coal enterprises ; industry properties of coal enterprises , given a reasonable set of principles of equity structure of listed coal enterprises . Finally , derived by analyzing the the adjustments listed coal enterprises in the shareholding structure of the specific programs , including reducing the proportion of state-owned shares , legal person shares of expansion , the appropriate concentration of outstanding options . Which reduce the state-owned shares in proportion and legal person shares expansion purposes in order to prevent insider control , strengthen corporate shareholders of state-owned large shareholder oversight constrained capacity , effective internal governance ; flow of equity appropriate concentration of the purpose of protecting the interests of small and medium- circulation shareholders of , so that circulation shareholders concerned about the company gradually operating conditions , effective external governance . Taking into account the full circulation after China's capital market is facing a new form , in order to protect the national security of the strategic resources and prevent the emergence of hostile takeover , the countries listed coal companies must maintain effective control over the paper last proposed to improve the relevant regulations and policies to address these problems.
