Abstract


Mergers and acquisitions as external growth , enterprises expanding fast and effective means to promote institutional change , industrial upgrading and optimization of the capital structure configuration . However, mergers and acquisitions , the success rate is not high , for the enterprise , the state has brought huge losses . This paper analyzes the the CIMC mergers expansion strategy and Conba of mergers and acquisitions Phoenix both cases , that the former success , mainly due to their scientific decision analysis , select a suitable target company , effective risk management , mergers and acquisitions integration, cost management , while the latter is the main reason for the failure is not full assessment of mergers and acquisitions in the presence of various risk factors in the pre-merger .
