Abstract


Turn of the century , a significant turning point in the world economy is experiencing a pattern from , institutional , industrial structure and other aspects of the profound changes in corporate mergers and acquisitions wave of a wave after wave , its scale , covering the breadth of the field , more than economic history of the development of any one period. But whether in the West or China , according to incomplete statistics , fewer than one in ten companies in mergers and acquisitions resulting from greater economic benefits. A large number of case studies that led to this situation is an extremely important factor is that mergers and acquisitions of domestic enterprises tend to focus only on the assets of operations, and the relative neglect after merger business integration . In this paper, the theory and method of Mergers and Acquisitions , analyzes the Group's acquisition of the red river mining process , revealing the merger process of the main problems , and on this basis, on how to more effectively integrate the new company were discussed. In this paper, the meaning of acquisitions and integration start, an overview of the acquisition and integration of the basic theory ; From a historical perspective , a brief review of the Group's acquisition of Red River Mining background and process ; and assessment of the value from the enterprise , the investment cost strategy selection, management system construction and other aspects of bilateral integration of resources , a detailed analysis of the red River Mining Group acquisitions occurred during the mistakes and problems: merger integration feasibility study is not sufficient, merger integration errors ; against the new company the status quo, from the perfect integration of organizational management, timely organizational change and system innovation, promote cultural restructuring , the implementation of people management, enterprise information flow reconstruction after merger put forward five countermeasures and suggestions for further integration .
