Abstract


M \u0026 A market economy develops to a certain extent the inevitable outcome. Since the late 1800s , the world has undergone five massive wave of mergers and acquisitions . Country from 1984 to date , there have been two truly acquisitions climax. However, the merger is not always successful . Studies have shown that in all mergers and acquisitions , there are 2 /3 to 3 /4 of the merger is a failure. Mergers and acquisitions is a very complex economic phenomena , involving all aspects of business operation . It needs to go through the preparation, negotiation and integration of three stages. A part of any mistakes , may lead to mergers and acquisitions fail. Integration is not in place is that people agree that the most common and the most important reason . Therefore, the merger integration of mergers and acquisitions practice is made ??inevitable requirement. In tutor Professor Wang Changzheng under the guidance of the author of the basic framework of corporate merger integration and a topic that has some superficial exploration, and build- written . The first chapter briefly introduces the concept of corporate acquisitions , mergers and acquisitions as well as some basic classification theory . The second chapter discusses the ability of the enterprise merger integration issues . M 's ability to manage the integration process mainly involves three aspects, namely, the ability to protect , transfer and diffusion capacity and capacity development . The third chapter analyzes the principles of corporate mergers and acquisitions and strategic integration strategy for the implementation of an integrated approach . The fourth chapter discusses the organizational integration of mergers and acquisitions in the motivation , goals, principles , and mergers and acquisitions management system integrated model and content. Chapter V presents the four main corporate culture integration mode ( assimilation type, infiltrating , isolated and destructive ) and select cultural integration model to consider two main factors: the original M \u0026 A strategy and corporate culture . Chapter VI from acquisitions of human psychology, behavior , analyzes the proposed integration of human resources implementation. Chapter VII analyzes the integration of market resources, the principle of brand integration , distribution, system integration management, integration of interface management and other practical operational problems.
