Abstract


Nowadays, the competition of the international financial industry is the focus of economic competition for all the countries. The development condition of financial industry will affect the domestic economic stability and the development of the international trade, and reflect its position and function in the world economy. At the same time, the economy globalization and finance integration turns to push the quick expansion of the M&A and reconstruction. Therefore, the analysis of its reasons and characteristics has important function on the policy choice of the Chinese financial industry. The M&A and reconstruction of the United States and Japan which have different characteristics have representation in the world, so their comparison have enlightenment to our country.This thesis starts with the theories of M&A and reconstruction, analyzes the theory background, then introduces the general situation of M&A and reconstruction in American and Japanese financial industries and compares their characteristics, from which our financial institutions can gain some enlightenment. This thesis is divided into four chapters, the main contents as follows:Chapter one introduces and analyzes the theories of M&A and reconstruction, explains the intricate reasons why the M&A and reconstruction appears, and provides strong theoretical foundation for the following analysis.Chapter two summarizes the development situation and characteristics in American and Japanese in different stages. This chapter is the historical review of the M&A and reconstruction of their financial industry and provides the historical foundation for the following analysis.Chapter three is textual emphasis. It compares and analyzes the characteristics of the M&A and reconstruction in American and Japanese financial industry from five aspects: outside background、 inside motivation、 the roles of government、 methods and effects.The last chapter refers to the present condition and problems of our financial industry, and points out we should learn the experience and lessons from American and Japanese financial industry, pushes forward the M&A and reconstruction of our country financial industry.
