Abstract


This article focuses on the theoretical and practical issues of board governance of commercial banks on the basis of analysis and comparison of domestic and international corporate governance , board governance theory literature . In recent years , as the global financial crisis continue to occur , the corporate governance of commercial banks has been unprecedented attention to the Board as a regulatory and oversight bodies bear the ultimate responsibility for the operation and management of commercial banks , the Board governance is the core of the corporate governance of commercial banks . Unlike enterprises characterized by commercial banks in business management and organizational structure , which determines the commercial banks in corporate governance and general corporate governance significantly different : more government intervention and greater opacity . Compared with the traditional board governance structure and governance mechanisms , board governance of commercial banks has its own unique place in the board size , board structure and independence of the board , this paper made ??a focus of analysis . Factors such as board size , board structure and independence of the board , there is a certain degree of relationship between treatment effect with the board of directors of commercial banks . Analysis research on corporate governance and board governance of commercial banks on the basis of this paper focus on board governance of China 's commercial banks . With the deepening of the reform of the financial system , commercial banks in corporate governance and board governance is taken seriously . However, corporate governance and board governance of commercial banks in China is still in its infancy , the vast majority of commercial banks yet to establish a sound system of governance of the Board of Directors . This paper analyzes the state-owned commercial banks , national joint-stock commercial banks , the local regional commercial banks in the governance of the Board in common and individual characteristics , and are there obvious flaws and shortcomings . -By- class basis of the analysis of the three types of commercial banks , this paper presents some preliminary measures to improve the governance structure and governance mechanisms of the board of directors of China 's commercial banks .
