Abstract


Enterprises aim to establish a modern enterprise system in the reforming framework of our market-oriented economic system , so that the enterprises will become independent and self-financing market. And that the introduction of long-term bank credit-based financing, corporate structure and governance structures imperfect equity, capital markets are underdeveloped, and other reasons, China’s enterprises currently exist characterized by excessive liabilities serious shortage of funds. To change our inefficient enterprises financing models, the promotion of enterprise development, it was necessary for us to study and learn from the experiences of other countries in the world.In an attempt to produce useful suggestions to optimize our corporate finance models ,this text made comparative studies through adoption of the international community recognized three typical corporate finance models, namely the United States model, Japanese model, the German model .This text is composed by three components.The first part shows a clear pattern of the three frameworks through construing the corporate financing model oft the United States, Japan and Germany..America is a "liberal market economy" system and the modern enterprise system, the government does not generally intervene in the activities of micro-economic entities, the private sector is the mainstay of economic operation. Thus, enterprises with full operational autonomy, freedom of flexible financing mechanisms. US enterprises highly dispersed ownership structure, as a means of ownership providers and enterprises have many needs. Stock trading volume more persons, the more active trading of shares, the stock market on the development of faster, more enterprises through capital market investment and financing convenient. Stock market in particular has become a major constraint to enterprise managers forces. Thus, the process of enterprise development in the United States, always with the structure of sources of financing expansion characteristics, and in the external sources of financing, securities financing accounted for a considerable proportion of the market-dominating financing is a
