Abstract


For every enterprise that looks forward to sustainable development, it is eternal pursuit to improve corporate governance condition, seek the most reasonable corporate governance structure and the most optimized corporate governance system endlessly. Similarly, at the same time of the rapid development of the enterprise, how to improving and optimizing the corporate governance is becoming a big issue, which has to be faced, in order to maintain sustainable development.HSK is a non-listed company, which is the first hi-tech enterprise that studies and produces high-power nickel-hydrogen battery in Hunan province, and it is also one of the earliest such kind of enterprises throughout the country. HSK, pursuing the industries dealing with new energy and automobile which are both supported and developed by the government, is in the crucial period of industrialization development now. However Some problems existing in development are exposed when the company gets rapid growth, such as, ownership structure are unreasonable, independent director vacancy, the directors and supervisors of the company are devoid of independence when make decision, the incentive and restrain of the executives are inadequate and so on.According to the industrial characteristics which HSK located in and the successful experiences of corporate governance structure of some outstanding enterprise home and abroad, the paper intends to analysis the status of corporate governance structure in HSK.Aimed at existing problem of corporate governance structure in HSK, the paper discuss improvement of the corporate governance structure and put forward its own optimization proposal:change the shareholding structure, diversify shareholding structure, Improve drive mechanism to senior managers, enhance the effect of the board of supervisors.In conclusion, It was expected that the study on optimal design of corporate governance structure in HSK can guide the operation of the company and ensure sustainable development; the paper put forward its own applied proposals for HSK and other similar enterprises.
