Abstract


The Board of Directors as the company's decision-making body , with decision-making power of the major matters of the Company , in a very important position in the company's organizational structure . The structural features of the Board whether they would impact the company's performance ? Many scholars at home and abroad are very concerned about this study has been to expect the study of the characteristics and performance of the company through the board structure , to find a better board governance mechanism , and ultimately to promote better development and the improvement of performance of listed companies in China as the goal . The departure from the practical problems , the structural features of the Board is divided into three categories , the independence characteristics, incentive and other features . And three major structural features as the characteristic variables of the study , the financial evaluation of listed companies and securities supervision and administration of the provisions of the Committee on Performance Evaluation and select equity net profit margin and the main business yields as the results of evaluation . In the process of analysis , according to Wan database information , select the the 2003-2005 structural features of the 10 industries listed companies and financial data , SPSS13.0 statistical software on the Board of Directors of the three main types of structural features and performance of the company 's relationship for descriptive analysis and correlation analysis . Richer in theory , the study of the relationship between the Board Governance and the performance of the company , its research methods and the viewing angles are elevated to a systematic perspective . Theoretical study of the value that comes from practice to practice . Therefore , the author 's research work , the expectations of the performance evaluation of China 's listed companies and the rationalization of the Board of Directors institutions have a substantial help .
