Abstract


With the rise and development of the modern enterprise system , the principal-agent problem and management incentive constraints gradually appearing. Equity incentive system was produced in the 1950s after Western enterprises in developed countries practice for many years , was a great success , is considered to solve the principal-agent problem , the most effective way to improve the Company's operating results . China from the 1990s started the trial of the equity incentive system . 2005 China's capital market began implementation of the split share structure reform in 2006 the CSRC promulgated and implemented a \Since then , the relevant rules and regulations to gradually improve equity incentive system in our country flourished . In this context , the analysis of the theoretical basis of incentive stock options , studying the split share structure reform of listed companies in China the status of the implementation of equity incentive system and its implementation results , and on this basis, a complete set of countermeasures in China's listed to promote equity incentive system the development of the company has a strong practical significance . Theoretical and empirical research of scholars at home and abroad on the equity incentive reviewed and elaborated on the basis of the theoretical basis of the equity incentive : motivation theory , principal-agent theory , the theory of corporate governance and the human capital theory ; article equity incentive system in the practice and development of the United States, United Kingdom and Japan as well as the split share structure reform of listed companies in China after the implementation of equity incentive system ; then, the article listed companies split share structure reform of China's implementation of equity incentive system for sample , a comparative analysis and regression analysis , empirical results show that the share reform of listed companies in China after the implementation of equity incentive system , the effect is not obvious ; Finally, the article combined with the actual situation of our country , from the implementation of incentive stock options , the internal governance structure of the Company analysis of the external environment and the implementation of equity incentive effect is not obvious reason of the implementation of equity incentive system , and put forward the incentives suggestions to improve the equity of listed companies in China .
