Abstract


No unified model of corporate governance structure, the different geographical, economic development level and even different cultural backgrounds will make corporate governance structure showing different characteristics. Learn from international advanced model of corporate governance is a required course for China's listed companies, China can not copy the international models, while the the Bin group of companies also study has a corporate governance structure suited to their characteristics. As part of China's listed companies, the Corps of listed companies compared with other listed companies in the country, both the number of things in common, there are a number of characteristics. Here we are concerned about is the relationship between the the Corps listed company governance structure and operating performance, the rationalization proposals hope to improve the governance structure for the Corps of listed companies to improve business performance and useful exploration so as to improve the governance structure of listed companies in China. Corps structure of listed companies, the first on the basis of the results of research on corporate governance issues of domestic and foreign scholars on the meaning of corporate governance, the basic theory and the theory of governance structure and business performance relationship a comprehensive summary and then a comparative analysis of the operating performance of the Corps of listed companies from the four aspects of operating capacity, profitability, solvency and ability to grow and factor analysis methods based on scientific evaluation Corps operating performance of listed companies. Then, from the three important aspects of corporate governance, ownership structure, the board of directors and management incentive analyze the status of the governance structure of listed companies on the Corps to Xinnongkaifa detailed analysis of the Corps listed companies internal governance mechanisms. Finally, in the basis of the previous analysis, linear regression methods Corps listed the relationship between corporate governance structure and operating performance. The empirical results show that the operating performance of the Corps of listed companies with the largest shareholding ratio exists a negative correlation with the proportion of corporate shares, the proportion of the outstanding shares, and the top five shareholders stake there is no obvious relationship; aspects of the Board of Directors, the Corps listed company's board an inverted U-shaped relationship between size and operating performance was not a significant positive correlation between the proportion of independent directors and business performance, the annual number of meetings of the Board of Directors and operating performance was negatively correlated;, the Corps listed companies operating performance in terms of the management incentive managers receive an annual remuneration was negatively correlated. Based on the above studies, the article concludes improve the corporate governance structure of the Corps listed countermeasures that optimize the shareholding structure, and improve the system of independent directors, design reasonable management incentive system.
