Abstract


Since the mid-1990s, corporate governance issues are wide-ranging discussion and unprecedented attention, especially after the 1998 Asian financial crisis and the 2001 U.S. Enron and WorldCom corporate scandals, corporate governance has highlighted the relationship to global economic and financial stability and development of the core elements. Recent U.S. subprime crisis on the world economy triggered by the contagion effect, so that we can see big fluctuations in the macro and market, corporate governance standard bank because scientific management and control in place and good social responsibility by the impact of significantly less than the level of the general industry market institutions. By the end of 2007, the bank listed on Shanghai and Shenzhen in mainland China has reached 14. In this paper, by drawing on the experience of domestic and international banking corporate governance, corporate governance of listed commercial banks in China empirical research, and try to explore the further development of the China Banking Corporate Governance. Although academic research on corporate governance has several decades, but Performance Study of Commercial Bank Corporate Governance little less for the study of China's listed commercial banks in corporate governance performance. In this paper, by drawing on existing research on banking corporate governance at home and abroad, combined with the special nature of the corporate governance of commercial banks, a simple analysis of the current listing of state-owned and joint-stock banks' corporate governance. From the core issue of the ownership structure, corporate governance - Board of Directors, incentive and restraint mechanisms, monitoring aspects of the current situation and existing problems of corporate governance of listed banks in China, conducted in-depth analysis and comparison. The analysts believe that, with respect to the listing of state-owned banks, joint-stock banks corporate governance of China's listed the overall situation is basically sound corporate governance framework has been basically established, but the effectiveness of corporate governance mechanisms play to be further improved. Five listed companies of the joint-stock banks and then an empirical analysis of governance from the above aspects. The regression results show that: the proportion of large shareholders and ownership concentration on the performance of listed joint-stock banks in China produced no significant positive impact. The Board of Supervisors and the controlling shareholder of commercial banks lending decisions played a certain positive role, played a certain positive role in the governance structure of listed banks on bank lending. Combined with selected analysis model of corporate governance of China's commercial banks, the paper argues that, to improve the corporate governance of listed banks in China must establish a rational ownership structure, the board of directors of the specification, the system of board of supervisors, as well as diverse, high transparency incentives, to strengthen banks' risk management continue to improve the internal governance structure, and should build on the basis of the stakeholder theory, common governance of listed banks mode, the formation of human capital by the shareholders, creditors and the company's internal governance body, including external market common system of governance and regulatory bodies, including internal and external. In the context of the current to continue to deepen the financial sector reform and development outcomes, this study has a certain significance for improving the corporate governance of China's listed banks and their reform, theoretical and practical significance.
