Abstract


Hedge fund which commence America has gained great developments around the process of financial globalization. At the same time, it has courted attention of the rich individual and mechanismic investors by which the particular invested tactics and efficiency achievement, further onwords, become the most lucrative financial products. On a worldwide sale, American hedge fund has held a leading place on the quantity and effect. The evolutive law supervision system has beening exert pretence action to the rising financial markets. As a result of the Asian financial crisis, our government has held a discredit attitude and not open the threshold of law admittance. Meanwhile, our capital market experience the constant open and development, various kinds of the financial derivative products including the Hedge fund enter our country. Therefore, Our country should open the threshold of law admittance gradually and perfect law regulation system constantly. On one side, we should make use of the superiority of Hedge fund to development our capital market, on the other side, we should control the financial system and defend the safety of our financial market. Recent year, Internal researchers have gone deep into research various sides of the theory and practice of the Hege fund, however, they heven t form the system and consensus, the practice research is superficial especially, they should further probe the depth and scope of the Hege fund.This paper discusses the legal supervision of American hedge fund and combines the present situation of the Hege fund recently years. The paper include four setions:The first section is an outline about legal supervision of American hedge fund. The definition of hedge fund haven t a consensus on the international market. The paper introduces the definition, characteristic and obtain the conclusion. Next analyzes the development situation of American hedge fund and provides the reference of the legal supervision.The second section is basic system about the legal supervision of American hedge fund. The paper analyzes the definition, subject, principle, necessity and legal system, in addition, comparative analyze the legal supervision of the international organization.The third section is particular system about the legal supervision of American hedge fund. The section includes SEC adjusts the mode about legal supervision hedge fund, Some laws about the hedge fund, the development trend in the future. America have supervised the hedge fund market by some laws as 《Securities law in1933》,《Commodity teading in1936》,《Investment company law in1940》,《Investment adviser in1940》,《Securities exchange law in1940》, althought the hedge fund will escape these laws.The four section is the revelation from America to our country. The paper includes the development situation, the revelation of America hedge fund, the suggests about the perfect of the hedge fund.
