Abstract


M \u0026 A is an important way for enterprises to effectively utilize their own resources , and enhance the efficiency of resource allocation , but also an important way to achieve rapid development of a M \u0026 A activity began, there are scholars began to value of M \u0026 A activity effect , from the late nineteenth century study . Our enterprise mergers and acquisitions since the eighties of the last century , with the M \u0026 A activity has become increasingly active and growing scale of acquisitions , listed company M \u0026 A performance study became a common concern of theoretical and practical circles . With the deepening of research , many scholars have found susceptible to the influence of human factors , based on the accrual basis of accounting indicators and use these indicators to evaluate the performance of mergers and acquisitions , we may not be able to get accurate and reliable conclusions . Based on this , the paper on to the cash flow information as the core of the performance evaluation of mergers and acquisitions , and choice of accounting method from two aspects of the financial performance and social performance of the long-term performance of the company M \u0026 research . 16 common indicators based on cash - flow accounting , respectively, from the four aspects of operating capacity , profitability , solvency and development capacity of the financial performance of the corporate mergers and acquisitions research; 5 based Performance Evaluation social performance evaluation of the cash flow from the mergers and acquisitions , the overall contribution of tax revenue , employees and society as a whole . The use of a mathematical model of the first two years of the master and company acquisitions , mergers and acquisitions that year and two years after the merger , mergers and acquisitions of financial performance and social performance analysis . The following conclusions : mergers and acquisitions financial performance and social performance will be lower than the level prior to the takeover , after the acquisition of social performance levels increased year by year and higher than the level prior to the takeover , but the level of financial performance , although a rebound in the year after the merger , but the long-term financial performance has not increased significantly. Enterprises do M \u0026 A decision should be with their own development strategies, as well as operational status combination of carefully chosen acquisitions strategy .
