Abstract


Cross shareholding is a phenomenon where two separate companies invest to each other or hold each other’s shares. The regulation of cross shareholding is important in theory and practice of company law. The practice of cross shareholding in China is lack of regulation at present, so it’s necessary to pay more attention. This thesis is discussing cross shareholding ,aiming at setting a system of regulations of it in our company law. For one and first, the legal definition and effects of cross shareholding are introduced. After that, the author analyses the development of practice and regulations of cross holding in China. Following some experiences of extraterritorial regulations, the relevant advice in our company law is suggested.In this thesis, research methods of empirical analysis and comparative analysis are used to support author’s viewpoint.This paper can be divided into five chapters.Chapter1 The legal definition of cross shareholding.This chapter introduces the legal definition of cross shareholding, containing the definition, features and classification of cross shareholding. This chapter is the basis of other parts.Chapter 2 The positive and negative effects of cross shareholding .This chapter discusses the positive and negative effects of cross shareholding, to providing objective basis.Chapter 3 Analysis on practice and regulation of cross shareholding in PRC. This chapter investigates the present situation of cross shareholding in PRC. From the research of“Zhong Guang Series”we can find the features of cross holding practices in China. From the introduction of relative stipulations we can get the experiences and disadvantages.Chapter 4 Comparative analysis of extraterritorial relevant regulations.This chapter introduces and analyses several typical regulations on cross shareholding in other countries and areas, in order to help us get worthy experiences on the attitude and technique of regulations.Chapter 5 Advice on cross shareholding regulations in our company law.On the basis of other chapters, this chapter gives some advice on cross shareholding regulations in company law of PRC,including the principle of regulations on cross shareholding and the detailed provisions.
