Abstract


The emergence of related enterprises in the traditional company law, "independent legal personality" and "shareholder limited liability system" caused great impact. Related enterprises in bankruptcy will have different special problems of individual bankruptcy. If the business process in the business relationship because of this loss of independence of the association, which led to bankruptcy, then the interests of the creditors of bankrupt enterprises, it is possible because the relationship of this association have been violated. The value of Bankruptcy Law is to ensure equitable repayment of creditors. Then on the need for "independent legal personality" and "shareholder limited liability" system break, lifting the corporate veil, and business requirements associated with the creditors of bankrupt enterprises take responsibility for the effective protection of the interests of creditors; Also, if applicable, "Piercing the Corporate Veil" negate the principle of an independent personality, then the need to take responsibility for the affiliate of the creditors may also be against their interests, it is necessary to take measures for bankrupt enterprises and associated enterprises in the interests of creditors to balance. The application of the law need to "Piercing the Corporate Veil" principle to consider when focusing. In this paper, our legislative and judicial practice, a brief analysis of the "piercing the corporate veil" principle into the field of Bankruptcy Law in China some basic questions, and made applicable in the related bankruptcy, "Piercing the corporate veil" principle Suggestions.The first part of the association made by reference to the actual bankruptcy cases exist in the special legal issues.
