Abstract


On December 6,2008, China Banking Regulatory Commission issued " Guidelines for Credit Risk Management of mergers and acquisitions of commercial bank " which allows qualified commercial banks to develop M & A loan business. For China’s commercial banks, opportunities and challenges are available. On one hand, M & A loan business for banks has opened up the new categories of businesses; On the other hand, there is a higher risk in M & A loan business due to the lack of effective risk management, How to do risk management becomes the key point of developing the mergers and acquisitions loan business for commercial banks.In this thesis, though the analysis of mergers and acquisitions loan business of China’s commercial banks, the author gets the conclusions that there are many problems during the actual operation. For example, the ways of choosing Target companies are unscientific, financial management is lack of effective monitoring, and there are a shortage of relevant laws and regulations and policies. This thesis primarily gives further analysis of above problems and puts forward the concrete proposals, on the basis exploration of mergers and acquisitions loan business of domestic commercial banks, combined with the experience of foreign commercial banks,. Targeting the unscientific enterprises-choosing ways, the author explains how to screen and assess target companies. Against the lack of effective monitoring for financial management, the shortage of professional talents, and inadequate regulations and policies related to the problem, this thesis proposes the measures and the specific corresponding solutions.
