Abstract


With the rapid development of capital markets in recent years, China’s private equity investment hasrapidly grown into an important financial industries. First, there is a problem from the start of private equity,capital markets and to engage lawyers practice law firm involved in the relevant angle, combined with thelegal knowledge and practical cases were discussed in private equity investment protection agreement inprincipal terms and the right to legal analysis legitimacy analysis and practical case studies: first, the mostcommon investment negotiations, the most controversial three terms on the bet that the terms of foreclosureterms and the terms of the priority dividend rights analysis; second, priority subscription rights of first refusal,anti-dilution provisions of these three important tool for investors to finance intervention to analyze corporateequity ratio; third, liquidation preference, co-sale rights, joint acquisition of rights to protect investors threecapital injection safety or reduce its investment losses were analyzed important terms. Finally, how to protectthe interests of investors put forward relevant countermeasures and suggestions.
